The direct answer
A refinance distribution occurs when a syndication replaces or increases debt and distributes some available proceeds to investors. This can return investor cash without selling the asset, but it also leaves the property with debt and future repayment obligations. A cash distribution from refinancing is not automatically economic profit.
Trace the source of distributed cash
Identify gross loan proceeds, payoff of existing debt, refinancing costs, retained reserves and the balance eligible for distribution.

Distinguish capital returned from earned return
Distribution classification depends on the governing waterfall and applicable tax rules. Investors should not assume a refinance payment has the same meaning as operating income or realized sale gain.
Recalculate residual investment risk
Review new interest costs, DSCR, loan covenants and maturity after the distribution. Debt-funded cash out can increase leverage even when investors have recovered substantial original cash.
Worked example
A property refinances into a $7 million mortgage, pays off $5 million of prior debt and incurs $200,000 of costs. If $500,000 is retained for reserves, at most $1.3 million of illustrative cash remains before any other restrictions or waterfall allocations.

Common mistakes and limitations
Do not count refinance distributions as net profit without considering how much is debt-funded and the remaining obligations.
Basic illustrative waterfall only. Actual operating agreements may include accrued/catch-up pref, return-of-capital tiers, IRR hurdles, fees, clawbacks and tax allocations.
Frequently asked questions
Does receiving original investment back eliminate risk?
No. The investor may still hold an illiquid interest exposed to higher leverage and operating losses.
Is refinance cash taxed the same as sale profit?
Tax treatment depends on entity structure, basis, liabilities and other rules; cash-flow labels alone are insufficient.
