The direct answer
Catch-up provisions and hurdle tiers determine how cash is reallocated after one waterfall threshold is met. A catch-up can temporarily direct a larger share to the sponsor or GP, while hurdle tiers change the split after specified return thresholds. The operating agreement defines the actual sequence.
Model the waterfall in exact order
Apply return of capital, preferred return, catch-up and residual splits in the sequence stated by the governing documents. Reordering tiers can materially change LP and GP distributions even when total property cash is unchanged.

Distinguish catch-up from promote
A catch-up is a mechanism that can accelerate GP distributions after the preferred tier. The promote is the GP’s disproportionate share of profits in later tiers. They are related concepts but not identical.
Define hurdle measurement precisely
Hurdles may be based on IRR, equity multiple or another metric and can be hard or soft. The calculation period, compounding convention and treatment of interim cash flows must match the agreement.
Worked example
A simplified waterfall may pay LPs an 8% preference, then direct 100% of the next dollars to the GP until a stated catch-up is reached, and only then split residual cash 70/30. Removing the catch-up would change the sponsor distribution even with identical property proceeds.

Common mistakes and limitations
Do not model a generic catch-up percentage without reading the actual waterfall language, because tier order and hurdle definitions vary widely.
Basic illustrative waterfall only. Actual operating agreements may include accrued/catch-up pref, return-of-capital tiers, IRR hurdles, fees, clawbacks and tax allocations.
Frequently asked questions
Is a catch-up the same as a promote?
No. A catch-up is a distribution mechanism; a promote is the sponsor’s enhanced share of profits, often implemented through later tiers.
Are waterfall hurdles always based on IRR?
No. Agreements can use IRR, equity multiple or other defined thresholds.
